Section 01

Acceptance of Terms #

These Terms of Use ("Terms", "Agreement") constitute a legally binding agreement between Syncrozon SaaS Inc. ("Syncrozon", "Company", "We", "Us") and the merchant entity or individual ("Merchant", "User", "You") installing, accessing, or utilizing the Syncrozon application software, APIs, dashboard, and integration connectors.

By clicking "Install", "Subscribe", "Connect Store", or otherwise accessing or using the Syncrozon service through the Shopify App Store or Syncrozon application portal (`app.syncrozon.com`), you explicitly acknowledge that you have read, understood, and agree to be bound by all terms, conditions, policies, and operational guidelines contained herein, as well as our incorporated Privacy Policy.

Binding Commercial Contract

If you are installing or using Syncrozon on behalf of a company, partnership, or commercial entity, you represent and warrant that you possess full legal authority to bind that entity to these Terms. If you do not agree to these Terms, you must immediately uninstall the application and cease all usage.

Section 02

Eligibility & Account Registration #

To be eligible to install and use Syncrozon, you must satisfy all of the following criteria:

  • Legal Age & Capacity: You must be at least 18 years old or the legal age of majority in your jurisdiction.
  • Active Shopify Merchant: You must own or manage an active, compliant storefront hosted on the Shopify platform (`myshopify.com`).
  • Active Amazon Seller Central Professional Account: You must maintain an active Amazon Professional Selling Account in good standing with Amazon Multi-Channel Fulfillment (MCF) enabled in supported regions (e.g., US, Canada, UK, EU, Japan, Australia).
  • Lawful E-Commerce Operation: Your e-commerce business must comply with all applicable local, national, and international laws, regulations, and import/export restrictions.
Section 03

User Responsibilities & Acceptable Use #

As a condition of using Syncrozon, Merchants agree to adhere to strict operational standards:

A. Store & Credential Security

Merchants are solely responsible for maintaining the confidentiality of their Shopify Admin account credentials, API access tokens, and Amazon Seller Central accounts. You agree to notify Syncrozon immediately upon discovering any unauthorized access or security breach involving your store integrations.

B. Accurate Product SKU Mapping & Data Verification

Syncrozon relies on the accuracy of SKU mappings configured in your Syncrozon dashboard between Shopify variants and Amazon FBA inventory SKUs. You are solely responsible for verifying that product SKU codes, product weights, bundle ratios, and packaging definitions correctly correspond to valid Amazon FBA items.

C. Prohibited Conduct & Misuse

You agree NOT to:

  • Attempt to reverse-engineer, decompile, disassemble, or extract source code from the Syncrozon application, APIs, or sync engines.
  • Submit fraudulent, prohibited, illegal, hazardous, or counterfeit items for Amazon MCF fulfillment.
  • Overwhelm Syncrozon infrastructure with unauthorized automated API script loops, rate-limit bypassing, or Denial of Service (DoS) attacks.
  • Violate Shopify App Store Partner terms or Amazon Selling Partner API Acceptable Use Policy (AUP).
Section 04

Shopify & Amazon Permissions & API Agency #

By connecting Syncrozon to your Shopify storefront and Amazon Seller Central account, you expressly grant Syncrozon a non-exclusive, world-wide, royalty-free authorization to act as your technical software agent for the sole purpose of:

  1. Reading & Writing Shopify Orders: Reading paid Shopify orders and creating fulfillment records containing Amazon tracking details.
  2. Amazon MCF Outbound Fulfillment: Sending automated `createFulfillmentOrder` calls to Amazon Selling Partner API (SP-API) using your authorized SP-API developer authorization token.
  3. Inventory Synchronization: Querying Amazon FBA warehouse stock levels (`getFulfillmentPreview` / `getInventorySummaries`) and overwriting Shopify location inventory levels.
Separate Marketplace Fulfillment Fees

Syncrozon's subscription fees cover software integration services only. You remain independently responsible for paying all Amazon Multi-Channel Fulfillment (MCF) pick, pack, shipping, and storage fees directly billed by Amazon to your Amazon Seller Central account, as well as standard Shopify subscription and transaction fees.

Section 05

Service Availability & SLA #

Syncrozon targets a 99.9% application uptime SLA for our sync routing servers. However, service availability depends on third-party cloud infrastructure and partner platform APIs:

  • Scheduled Maintenance: We reserve the right to perform occasional routine maintenance or system upgrades. Planned maintenance windows will be communicated in advance via dashboard notices when feasible.
  • Third-Party Outages Disclaimer: Syncrozon is not liable for fulfillment delays, sync failures, or inventory discrepancies resulting from external downtime or rate-limiting caused by Shopify API outages, Amazon Seller Central API downtime, AWS cloud regional outages, or postal carrier delays (UPS, FedEx, USPS, Amazon Logistics).
Section 06

Subscription, Billing & Refunds #

Syncrozon offers flexible monthly and annual subscription tiers based on order sync volumes:

A. Billing Processing via Shopify App Store

All subscription charges, plan upgrades, plan downgrades, usage-based order overages, and applicable taxes are billed securely through the official Shopify App Store Billing API. Subscription fees will appear as line items on your standard monthly Shopify invoice.

B. Order Volume Overages & Upgrades

If your store exceeds the monthly order quota included in your selected plan tier, Syncrozon will continue syncing orders seamlessly and apply overage charges at specified per-order rates or prompt you to upgrade to a higher tier.

C. Cancellation & Refund Policy

You may cancel your Syncrozon subscription at any time simply by uninstalling the application from your Shopify Admin panel. Uninstallation immediately stops future billing cycles. Because billing is handled directly through Shopify, subscription fees are non-refundable except where required by law or approved at Shopify's sole discretion.

Section 07

Intellectual Property Rights #

Syncrozon Property: All intellectual property rights in and to the Syncrozon application, including software code, sync engines, user interface design, logos, brand names (`Syncrozon`), graphics, documentation, and algorithms, are the exclusive property of Syncrozon SaaS Inc.

Merchant Data Ownership: Merchants retain exclusive ownership over all product catalogs, customer store records, and trademarked brand collateral connected to their Shopify storefronts. Syncrozon claims zero ownership interest in merchant business data.

Limitation of Liability & Disclaimers #

PLEASE READ THIS SECTION CAREFULLY AS IT LIMITS THE LEGAL LIABILITY OF SYNCROZON SAAS INC.:

"AS IS" & "AS AVAILABLE" DISCLAIMER

SYNCROZON IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED API OPERATION.

A. Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNCROZON SAAS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOST REVENUE, INVENTORY STOCKOUTS, AMAZON FBA REPLACEMENT FEES, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE.

B. Total Aggregate Liability Cap

IN NO EVENT SHALL SYNCROZON'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER OR RELATING TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THE MERCHANT TO SYNCROZON IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Section 09

Termination & App Uninstallation #

Termination by Merchant: You may terminate this Agreement at any time by uninstalling Syncrozon from your Shopify store admin panel. Uninstallation immediately revokes API access tokens and ceases order creation calls to Amazon MCF.

Termination by Syncrozon: We reserve the right to suspend or terminate your account access immediately, without prior notice, if you breach any material provision of these Terms, engage in fraudulent e-commerce practices, fail to pay subscription charges, or if required by Shopify or Amazon platform policy enforcement.

Effect of Termination: Upon termination, all active sync connections will be disabled, and stored data will be purged in accordance with our Data Retention Policy within 14 calendar days.

Section 10

Governing Law & Dispute Resolution #

Governing Law: These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Informal Resolution: Before initiating formal legal proceedings, both parties agree to attempt to resolve any commercial dispute through good-faith informal negotiations for at least thirty (30) calendar days by contacting support@syncrozon.com.

Binding Arbitration & Class Action Waiver: Any unresolved dispute arising out of this Agreement shall be settled by binding individual arbitration administered by the American Arbitration Association (AAA). You agree to resolve all disputes solely on an individual basis and waive any right to bring or participate in a class-action suit or class-wide arbitration.
